- Represented Saudi shareholder in US$1.9 billion multi-party integrated petrochemical complex in Saudi Arabia; drafted and negotiated project documents for all aspects of the project, including shareholders agreements, supply agreements, offtake agreements, license and related technology agreements and PMC/EPC contracts. Also involved in bridge and project financing.
- Drafted and negotiated shareholders agreement and other project documents and represented foreign shareholder in negotiations for gas supply agreement for a US$6 billion greenfield petrochemicals project in Kazakhstan.
- Drafted and negotiated shareholders agreement, EPC documentation and other project agreements for a US$2.5 billion Saudi Arabian cracker and polyethylene joint venture. Also represented the foreign sponsor in negotiating the largest private non-recourse project financing in Saudi Arabia involving commercial banks with ECA cover.
- Managed the sale process for several business units of a leading petrochemical company in the US, Europe and Australia.
- Drafted and negotiated share purchase agreement, shareholders agreement and feedstock supply agreement with PTT (the state oil company of Thailand) in connection with PTT’s acquisition of an interest in and the subsequent expansion of Thai polypropylene JV. Represented sponsors in negotiating US$ 475 million project financing.
- Drafted and negotiated exclusive marketing arrangement with major petrochemical producer in China.
- Drafted and negotiated shareholders agreement, EPC documentation and other project agreements in a US$ 1.2 billion Saudi Arabian propane dehydrogenation plant and polypropylene joint venture. Also represented the foreign sponsor in negotiating the first Shari’ah compliant project financing in Saudi Arabia.
- Drafted shareholders agreement and negotiated Thales SA equity participation in Saudi joint venture through the French Offset Programme.
- Negotiated sale of partial interest in compounding joint venture in India.
- Negotiated sale of controlling interest in public company in Taiwan.
- Drafted and negotiated shareholders agreement, EPC documentation and other project agreements with respect to first major private petrochemical joint venture in Saudi Arabia. Also represented foreign sponsor in negotiating US$280 million project financing.
- Negotiated British Aerospace-guaranteed financing for the foreign shareholder in Saudi JV under the British Offset Programme.
- Established French holding company together with a Bahraini investor for the purpose of jointly holding investments in the Middle East; drafted and negotiated related documents.
- Drafted and negotiated shareholders agreement and other project agreements, including EPC contract and negotiated project financing for compounding joint venture in Thailand.
- Represented foreign investor in acquisition of partial interest in petrochemical company in Korea, drafted and negotiated share purchase agreements and shareholders agreements and related documents following such acquisition, and negotiated acquisition financing. Subsequently renegotiated corporate financing for the JV.
