  • Represented Saudi shareholder, Tasnee Petrochemicals, in complex acrylates project involving Dow Chemcial and Evonik Industries as foreign sponsors, as well as Saudi Kayan (SABIC), and Sadara Petrochemicals (joint venture between Dow and Saudi Aramco). Deeply involved in all aspects of negotiation of project documentation, $600 million Islamic bridge financing and $1.9 billion project financing, involving domestic and international banks, SIDF and PIF.
  • Drafted and negotiated Shareholders Agreement and other project agreements, including EPC documentation, for a US$2.5 billion Saudi Arabian cracker and polyethylene joint venture, Saudi Ethylene and Polyethylene Company. Also represented LyondellBasell as the foreign sponsor in negotiating the largest private non-recourse project financing in Saudi Arabia.
  • Drafted and negotiated Shareholders Agreement, EPC and other project agreements in a US$ 1.2 billion Saudi Arabian propane dehydrogenation plant and polypropylene joint venture, Al Waha Petrochemical Company. Also represented the foreign sponsor in negotiating the first Shari’ah compliant project financing in Saudi Arabia, involving the SIDF and PIF.
  • Negotiated Thales SA equity participation and shareholders agreement in the Al Waha joint venture through the French Offset Programme.
  • Drafted and negotiated Shareholders Agreement, EPC and other project agreements with respect to first major private petrochemical joint venture in Saudi Arabia, Saudi Polyolefins Company. Also represented foreign sponsor in negotiating US$280 million project financing involving the SIDF and PIF.
  • Negotiated British Aerospace-guaranteed financing for the foreign shareholder in Saudi Polyolefins Company under the British Offset Programme.
  • Represented the foreign sponsor in financing, on an Islamic basis, US$ 525 million of debt for the refinancing and expansion of Saudi Polyolefins Company.
  • Established French holding company together with a Bahraini investor for the purpose of jointly holding investments in the region.
  • Drafted and negotiated various preliminary agreements with respect to petrochemical and chemical projects in various countries in the Middle East, including Egypt, Algeria, Oman and Libya.
